DOXA AI is a private company registered in England and Wales with company number 14948864 ("DOXA AI", "we" and "us").

About these Terms

These terms of use as amended from time to time (the "Terms") govern your use of the DOXA AI platform at doxaai.com, as well as any and all other DOXA AI websites, products, services, resources, features, applications and technologies (all together, the "Services") except where we expressly state otherwise.

By accessing and using these Services, you agree that you have read and understand these Terms and that you shall abide by them at all times. Failure to comply with these terms may result in the removal of any content and/or the suspension or termination of your access to our Services.

Competition-specific rules

Further to these Terms, by enrolling and participating in a competition hosted on the DOXA AI Platform, you agree to any and all applicable rules and terms of participation that may be put in place from time to time by DOXA AI or by the host of the competition at their sole discretion ("Competition Rules"), which may include age limitations. Amendments to any Competition Rules become effective as soon as they are published unless explicitly stated otherwise.

Furthermore, you warrant and represent that you are eligible to both take part under said Competition Rules and claim any competition prize, and you acknowledge that your failure to comply with any Competition Rules may result in your disqualification from the competition and/or the suspension of your access to the Platform and our Services.

User accounts

You agree that in creating an account to use our Services, you shall keep the personal information you provide to us accurate and up-to-date.

Furthermore, you agree that you are solely responsible for the security and privacy of your account, including any passwords, other modes of authentication and any other sensitive information that may be attached to your account or associated with your use of DOXA AI Services.

If you are under the age of 18, you must have the consent of a parent or legal guardian to use our Services and to enrol in each competition, and you acknowledge that you may not be eligible to participate (either fully or partially) in competitions with age limitations or other age-related restrictions. DOXA AI and the hosts of any competition reserve the right to request proof of such consent and to disqualify you if proof cannot be provided.

Acceptable use

You agree not to do any of the following:

• use our Services for illegal purposes;
• violate the intellectual property rights of DOXA AI
• violate the rights of other users of our Services;
• harass or mistreat other users of our Services (including off the Platform, such as on on social media);
• compromise or attempt to compromise the Platform or the account of any user of our Services;
• act in any way that could be considered fraudulent; and
• post or upload any material that could be considered inappropriate, obscene or offensive to the Platform.

DOXA AI reserves the right to limit, suspend or terminate your access to the Platform and our Services for any reason, including but not limited to if we suspect that you are in breach of these Terms.

Competition submissions

In these Terms, a "Submission" shall comprise anything you post, upload and store using our Services, including but not limited to any code, models, data, configuration and documentation, as well as any derivative works thereof.

You agree to grant DOXA AI a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, copy, modify, make derivative works of, display, perform, sublicense and distribute any Submission you make for the purpose of operating our Services, and you affirm that you have the full legal rights, permissions and authority to share and grant this license.

Furthermore, you represent and warrant that any Submission you make shall be the original work of you (or your team as the case may be) or work for which you have obtained all necessary permissions, licenses or consents. You acknowledge and agree that you are solely responsible for any consequences, legal or otherwise, that may arise from making a Submission in violation of these Terms.

If you are deemed to be a winner of a competition (according to the criteria set by the host of the competition in any competition rules or terms of participation), you also agree to grant the host of the competition a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, sell, offer to sell, import, reproduce, copy, modify, make derivative works of, display, perform, sublicense and distribute your winning Submission.

Competition hosts may set additional licensing requirements as part of any set of competition rules or additional terms of participation.

Submissions received before the competition commences or after the competition has ended will not be accepted, and DOXA AI does not accept any responsibility for any Submissions not accepted by the platform for any reason, including but not limited to any Platform error, technical malfunction, network connectivity issue and any other computer software or hardware failure of any kind.

DOXA AI and the host of a competition reserves the right to reject any competition enrolment or Submission at their sole discretion, including but not limited to if your conduct is deemed to be contrary to the spirit of the competition.

Competition prizes

You agree that any and all competition prizes, whether provided by DOXA AI directly or by a third party, are provided "as is" on a best-effort basis without warranty of any kind, express or implied, and you release DOXA AI and any competition hosts, partners, judges and sponsors from any liability arising from the prize-giving process, including but not limited to any delays, errors, inaccuracies or omissions.

DOXA AI shall in no event be liable for any costs or expenses incurred in connection with claiming any prize won, including but not limited to any banking and transaction fees, currency conversion costs and travel expenses.

Where competition prizes are provided by a third party (including but not limited to the host of the competition or any other competition sponsor or partner), said third party may impose additional terms and conditions in respect of the acceptance of the prize, and DOXA AI bears no responsibility for any inaccuracies in any prize descriptions or third-party marketing materials.

Prizes are always subject to availability and are non-exchangeable, non-transferable and non-negotiable. Where prizes are no longer available, competition hosts may offer a prize of an equivalent or greater value at their sole discretion. No cash alternatives will be offered except at the discretion of the host of the competition.

If you are deemed ineligible to participate in the competition, you shall not be eligible to receive any prize, and you agree to return any prize awarded in error if requested by DOXA AI or the host of the competition.

Links to other websites

Our websites may contain links to third-party websites or services that are not owned or controlled by DOXA AI. We do not assume any responsibility for any of the content, policies or practicies of any such third-party website or service, and it is your responsibility to read and understand any terms and conditions and privacy policies before using such websites and services.

Warranty disclaimer, limitation of liability & indemnity

DOXA AI Services are provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and noninfringement.

In no event shall DOXA AI and its directors, officers, agents, employees, subsidiaries and affiliates be liable for any action, claim, loss, damages, expenses (including legal fees) or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Services or the use or other dealings in the Services.

To the fullest extent permitted by law, you indemnify and hold harmless DOXA AI and its directors, officers, agents, employees, subsidiaries and affiliates from any actions, claims, losses, damages, liabilities and expenses (including legal fees) arising from your use of DOXA AI Services and any content you submit, post, transmit or make available through our Services.

Changes to these Terms

DOXA AI reserves the right to amend these Terms from time to time for any reason, including but not limited to accounting for changes in the Services we offer and maintaining compliance with the law. If we change these Terms, we shall notify you by posting a notice online or by contacting you by email. Changes take effect immediately when published, unless stated expressly otherwise.

If you continue to use our Services after an amendment to these Terms takes effect, you agree to any and all changes made thereby. If you do not agree to the updated Terms, you will no longer be able to use our Services.

Severability

The invalidity, illegality or unenforceability for any reason (including without prejudice to the generality of the foregoing by virtue of breaching any rules or regulations from time to time in force) of any part or provision of these Terms shall not prejudice, impair or affect the validity, legality and enforceability of the remaining parts and provisions contained herein.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the parties irrevocably submit to the exclusive jurisdiction of the English courts.
